These Terms of Service ("Terms") govern your access to and use of the The Medley Consulting website, Client Portal, Employee Portal, and related services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

The Medley Consulting provides enterprise consulting services in cybersecurity, infrastructure, AI ethics and governance, and LLM security. Specific services, deliverables, timelines, and fees are defined in individual Statements of Work (SOWs) or engagement letters executed between the parties.

We reserve the right to modify, suspend, or discontinue any aspect of our website or services at any time without prior notice.

2. Client and Employee Portals

Access to our Client and Employee portals is provided on a per-account basis. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your credentials.

Portal access may be revoked at our discretion, including upon termination of a consulting engagement or employment relationship.

3. Intellectual Property

All content on this website — including text, graphics, logos, icons, images, and software — is the property of The Medley Consulting or its content suppliers and is protected by intellectual property laws.

Client deliverables are subject to the intellectual property terms specified in the applicable SOW or engagement letter. Unless otherwise agreed in writing, The Medley Consulting retains ownership of all methodologies, frameworks, tools, and pre-existing intellectual property used in delivering services.

You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

4. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during any engagement. Confidential information includes, but is not limited to, business strategies, technical architectures, security assessments, vulnerability reports, and financial data.

Confidentiality obligations survive the termination of any engagement for a period of five (5) years, unless a longer period is required by law or specified in the applicable SOW.

5. Limitation of Liability

To the maximum extent permitted by law, The Medley Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim during the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

6. Indemnification

You agree to indemnify, defend, and hold harmless The Medley Consulting, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our website or services, your violation of these Terms, or your violation of any third-party rights.

7. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive to provide accurate and up-to-date information, we do not warrant that our website content is complete, reliable, or error-free. Security assessments and recommendations are based on conditions at the time of assessment and do not guarantee protection against all threats.

8. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or our services shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If unresolved, disputes shall be submitted to binding arbitration in Seattle, WA under the rules of the American Arbitration Association.

9. Acceptable Use

When using our website and portals, you agree not to:

- Attempt to gain unauthorized access to any systems or data - Use automated tools to scrape or extract content - Transmit malware, viruses, or other malicious code - Interfere with the proper functioning of our services - Use our services for any illegal or unauthorized purpose - Impersonate another person or entity - Violate any applicable local, state, national, or international law

10. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
